Biography

Issam established Sahouri and Partners in 1965. The breadth of his practice has led – after 50 years – to an in-depth knowledge of the income taxation of both corporations and partnerships, as well as estate, gift and trust taxation (particularly for ultra-high net worth and cross-border families). Issam further applies this knowledge in both tax planning and tax controversies, often working with family offices and trust companies, in addition to the wide spectrum of companies. His practice varied from civil to business and commercial laws; with major emphasis on companies, taxation & customs laws in Jordan. In the 1980s, Mr. Issam was deemed one of the best taxation and customs lawyers in Jordan. He has extensive experience representing closely held businesses and their owners in connection with acquisitions and disposition transactions, joint ventures, shareholder disputes, business succession plans and general tax planning. In addition, Issam has extraordinarily broad experience in corporate, partnership and individual tax matters, concerning the tax treatment of litigation recovery. He is also an authority on merger and acquisition tax matters, tax opinions, and many types of tax controversies.

Issam further represents businesses and their owners in domestic tax planning.  His practice includes entity formation and structure planning, securities offerings and hybrid financings, joint ventures, and strategic acquisitions and dispositions.  Where appropriate, Issam works with counsel in other jurisdictions to develop efficient cross-border transactional and operational structures. He also assists clients in preparing for and defending against audits and other litigated matters.

In the real estate area, he regularly advises on real estate financings, partnership and limited liability company agreements, “like kind” exchanges and local real estate transfer tax matters. Much of his work in this area is done for foreign investors, often involving tax treaty planning.

Biography

Tareq joined Sahouri and Partners in 2004; and in 2010 Tareq was made the Managing Partner of the firm. Tareq specializes in a vast majority of the local laws and regulations in Jordan; he has experience representing clients in all areas of commercial litigation, civil litigation and dispute resolution. He focuses primarily on matters involving tort, including liability litigation, professional negligence, product liabilities & mass tort actions, insurance, maritime, renewable energy, employment and labor, real states, construction and Investments in various industries including aviation, oil & gas, steel manufacturing, printing, automobile, property (investment and development), hotels and hospitality, medical, pharmaceutical and construction.

Tareq’s intellectual property experience includes the representation of clients in the prosecution of patents, trademarks, industrial drawings and modules, and matters involving IP litigations, trade secrets and unfair competition.

He also has a significant experience in granting foreign shareholders the full authority to run and manage their companies without the interference of the Jordanian shareholders.

Tareq is experienced in corporate advisory, mergers and acquisitions, private placements, initial public offerings, takeovers, as well as listings of debt and equity instruments in Jordan.

 

Major Work Experiences and Key Achievements:

  1. Tareq had a significant involvement by way of representing the majority of the victims’ families from the 2005 Amman bombings where he was successful in winning the insurance litigation cases which led to a large-size compensation to the victims’ families.
  1. Tareq is foremost the first Jordanian lawyer to represent clients in front of the supreme and constitutional courts on matters related to industrial drawings and modules infringement and unfair completion in Jordan.
  1. Tareq further represented clients in front of the local courts on matters related to Amman municipality illegal land acquisitions, where he was successful in secure large-sized compensations to the represented clients.

Biography

Shourouk joined Sahouri and Partners in 2000. Shourouk specializes in a vast majority of local laws and regulations in Jordan, mainly in Employment & Labor, administrative, energy, companies, intellectual property and civil laws. Shourouk has further provided dispute resolution advice (including the implementation of strategies to avoid the traditional paths of litigation and arbitration) and has also conducted all forms of dispute resolution over a range of major infrastructure projects in Jordan exclusively.

Shourouk is particularly experienced in the real estate laws in Jordan, particularly the landlords and tenants laws; in addition, Shourouk is experienced in debt collection with a high record of collecting debt including bad debts.

 

Major Work Experiences and Key Achievements:

  1. Major Work includes the successful representation of the majority of claimants in their litigation compensation battle against the Jordan Electricity Company in relation to the high voltage radioactive electricity towers in residential areas and its effect on the health of the claimants.
  1. Shourouk has also successfully represented several claimants in their litigation claims against the Social Security Administration for dues compensation.
  1. Shourouk was further involved in the restructuring and liquidation of several major local entities in Jordan.

Biography

Murad joined the firm in 2013 as a partner. Prior to joining Sahouri and & Partners, Murad worked for various entities and law firms. Murad specializes in a vast majority of the local laws and regulations in Jordan, mainly in Maritime, Employment & Labor, Companies, Commercial, Property & Real estate, Insurance, Construction and Criminal Laws.

 

Major Work Experiences and Key Achievements:

  1. Murad has successfully represented claimants in their litigation battle against the Jordanian Cement Company in relation to air pollution to residents residing in close proximity to the company.
  1. Murad also successfully represented many clients in their litigation claims against several of the shipping companies and yards in Aqaba on matters related to damaged and lost goods; in addition to advising on the purchase and sale of lands across Jordan.
  1. Murad has extensive criminal litigation where he successfully represented several defendants on matters related to narcotics and drugs, fraud and major theft, including banking fraud.

Biography

Amer Joined Sahouri & Partners October 2015. Prior to Joining Sahouri and Partners, Amer worked for major law firms and global entities, including DLA Piper Middle East LLP, Global Investment House & Gulf Bank – Kuwait, Otis Elevators – UAE and most recently Aramex as a Senior Legal Counsel.

Amer is an experienced generalist Attorney and legal consultant in the fields of Corporate Commercial, Employment, Intellectual Property, Compliance and Litigation, educated in the United Kingdom, trained in Jordan and worked post qualification in Jordan, Saudi Arabia, Kuwait and UAE.

Amer frequently advises international as well as regional and local clients on all aspects related to mergers & acquisitions and restructuring of entities, in addition to employment and immigration issues related to middle and senior management of corporations, and further advises on infringement and licensing of trademarks and software in Kuwait, UAE and Jordan.

Amer further advises clients on general corporate and compliance matters, with high calibre drafting and negotiation skills on an international level.

Amer has acquired Arabic and English drafting skills to include, but not limited to, drafting of SLAs, software licensing agreements, TM licensing agreements, disclaimers, high profile services agreements, online trading agreements and transfer agreements, franchise, distribution and agency agreements, architectural services agreements (design, supply and construction of the new branches of Global), brokerage agreements, security services agreements, POAs, LOIs, NDAs, SPAs in addition to preparation of DDs for potential M&As, JVs, wide spectrum of company secretarial works in addition to other legal documents as required by the clients.

  1. Compliance Exposure: Provided explicit and intensive training to employees, including heads of departments and MDs throughout the region (Kuwait, Saudi, Bahrain and UAE). Also provided further training to partners and key sales and front raw employees of distributors, agents and representatives of the company in Qatar, Oman, Iraq, Lebanon, Jordan, Pakistan and Afghanistan. Training material included differentiation between EAR & ITAR and explanation on detection of such related issues, including export controls, exemptions and procedures for the application of a license when permitted.

 

Training further included anti-boycott laws and methods of modifying language to contain lesser restrictive language as per the guidelines of the US State department; in addition to the introduction of SDNs (Specially designated Nationals) as per international laws related to UN, EU and US sanctions; in addition to sanctioned countries induction.

Additional training provided was related to antitrust, competition and privacy laws; in addition to FCPA & SOX regulations related to anticorruption and bribery acts in place in EU, UK and US.

Also, provided quarterly reports to State department related to all boycott requests throughout the GCC/ME regions and negotiated same with main contractors, third parties and government authorities to modify language provided in contracts and agreements to be in compliance with US and EU laws and regulations.

Conducted day to day review of businesses thru the region, initiated and processed related compliance policies to ensure full compliance with US and EU laws, but not compromising any compliance with regional and local laws.

Conducted investigations into suspicious matters arising throughout the term of employment related to FCPA and SDNs in Kuwait, Saudi and UAE; leading to the termination of several major contracts in said countries.

Biography

Fadi joined Sahouri and Partners, as an of- counsel in 2015. Before joining Sahouri and Partners, Fadi was and still is representing Cairo Amman Bank for the past.

Fadi provides legal support in relation to the laws and regulations governing lending products, including loans and overdrafts, and identifies and advises on emerging legal and regulatory risks including the implementation of new legislation and regulatory requirements.

Fadi further has strong general banking experience, including but not limited to, working on consumer credit law/regulation, consumer protection law e.g. unfair terms in consumer contracts and/or retail banking and payments regulations.

Furthermore, Fadi is experienced in providing sound legal advice on retail banking issues, including but not limited to; current accounts, savings, payments and digital propositions.

  1. Assisted on drafting and implementing the regular banking policies, in relation to retail banking and payment regulations.
  1. Successfully represented the bank and its branches on numerous litigation cases in Jordan.
